These Terms and Conditions apply to purchases made by consumers and business customers through the AOI.CYCLE online shop.

1. Scope and Seller

The seller and contractual partner is AOI GmbH, Immermannstrasse 34, 40210 Dusseldorf, Germany. Registered with the commercial register of the Local Court (Amtsgericht) of Dusseldorf, HRB 99884. 2. Products and Product Information

Product descriptions, photographs, specifications, availability information and dispatch estimates are provided to describe our products as accurately as reasonably possible. Minor differences that do not materially affect the agreed characteristics or functionality of a product may occur. The presentation of products in the online shop does not constitute a binding offer to conclude a contract.

3. Conclusion of Contract

By clicking the button labelled “Order with obligation to pay” or equivalent wording at checkout, you submit a binding offer to purchase the items in your basket. The automatically generated email confirming receipt of your order does not constitute acceptance of your offer.

We will review your order details, availability and expected delivery period. A contract is concluded only when we expressly accept your order by a separate email. We will provide the order details and these Terms and Conditions on a durable medium, normally in that email.

The contract language is English.

4. Prices, VAT and Shipping Costs

The final price applicable to your order, including the VAT shown for the selected delivery destination where applicable, is displayed in the basket and checkout before you submit your order. Shipping costs are shown separately before you submit your order and are included in the total amount payable at checkout.

Germany: home delivery is €0. For EU delivery countries BE, CZ, DK, ES, FR, IT, NL, PL, PT and SE, home delivery is €300, including VAT calculated for the delivery country.

For Switzerland, Norway and Great Britain, home delivery is DAP at €300. Import VAT, customs duties and clearance fees are excluded and are payable by the recipient as importer. Great Britain DAP is available only for carts containing a bicycle and is not available for Northern Ireland postcodes beginning BT.

5. Payment

The payment methods available for your order are displayed at checkout. Payment is processed through the payment provider you select at checkout. We may offer payment methods subject to availability, delivery destination, order value and the payment provider’s approval. We do not store complete payment-card details.

6. Delivery and Shipping

In-stock items are normally dispatched within 14 business days after conclusion of the contract. Made-to-order bicycles are normally ready for dispatch within approximately 10 weeks after conclusion of the contract. Any estimated transit time is shown at checkout or in the order confirmation.

Orders are shipped using DHL, UPS or another suitable delivery partner. The selected carrier may vary depending on the delivery destination, product dimensions and operational availability. If we are unable to deliver an ordered product because it is unavailable, we will inform you without undue delay and refund any payment already made without undue delay.

For consumers, the risk of accidental loss of or damage to the goods passes only when the goods are handed over to you or to a person designated by you who is not the carrier.

7. Retention of Title

Goods remain our property until payment has been received in full.

8. Right of Withdrawal for Consumers

Consumers have a statutory right of withdrawal. Details of the right of withdrawal, the withdrawal period, the consequences of withdrawal, the return address and the model withdrawal form are available on our Right of Withdrawal & Returns page.

This statutory right of withdrawal remains unaffected by any separate voluntary return policy AOI.CYCLE may offer. The right of withdrawal may not apply to goods that are not prefabricated and for the production of which an individual choice by the consumer is decisive, or which are clearly tailored to the consumer’s personal requirements, where the legal requirements for that exception are met.

9. Statutory Rights in the Event of Defects

Consumers are entitled to the statutory rights in the event of material defects or defects of title. These statutory rights apply independently of, and are not limited by, any commercial warranty offered by AOI.CYCLE. If AOI.CYCLE provides a commercial warranty for a product, its scope, duration, conditions and procedure will be set out separately in the relevant warranty statement. A commercial warranty does not limit your statutory rights.

10. Liability

We are liable without limitation for damages caused intentionally or through gross negligence, for damages resulting from injury to life, body or health, and where liability is mandatory under applicable law, including under the German Product Liability Act.

In cases of slight negligence, we are liable only for the breach of essential contractual obligations. In that case, liability is limited to foreseeable damage typically occurring under the contract. These limitations also apply to the acts and omissions of our legal representatives, employees and agents.

The above limitations do not apply where a defect has been fraudulently concealed or a guarantee has been given. Claims under the German Product Liability Act remain unaffected.

11. Consumer Dispute Resolution

We are neither willing nor obliged to participate in dispute-resolution proceedings before a consumer arbitration board.

12. Applicable Law

German law applies, excluding the United Nations Convention on Contracts for the International Sale of Goods. If you are a consumer habitually resident in another country, mandatory consumer-protection provisions of that country remain unaffected.
